AMENDED BY-LAWS
S.O.S. K-9
Supporters of Shawano County’s K-9 Unit
On August 27, 2008, S.O.S. K-9 adopted By-Laws. However, that entity seeks to amend its By-Laws as set forth herein.
ARTICLE I
NAME, FORM AND PURPOSE
1. The name of this association shall be the S.O.S. K-9 which shall stand for the Supporters of Shawano County’s K-9 Unit.
2. S.O.S. K-9 is an association formed under Chapter 184 of the Wisconsin Statutes known as the Uniform Unincorporated Non-Profit Association Act. S.O.S. K-9 is an association consisting of not less than three members joined by mutual consent for a common, non-profit purpose as further set forth herein.
3. The purpose of the S.O.S. K-9 association shall be to maintain, support, expand and promote Shawano County’s K-9 Unit. The association shall do this by working to promote awareness and to generate financial support for Shawano County’s K-9 Unit. In so doing, the interests of Shawano County citizens shall be best served by increasing the K-9 Unit’s ability to serve as an integral part of law enforcement thereby promoting the safety, health and welfare of the Shawano County citizenry.
ARTICLE II
MEMBERS
The following members of S.O.S. K-9 are individuals who, under the rules and practices of this non-profit association, may participate in the selection of persons authorized to manage the affairs of the non-profit association and further develop the policies, goals and procedures of this non-profit association. The following list of members does not contain all members that the association may have, and further members may be added. However, the association shall always maintain a minimum of three members joined by mutual consent for the non-profit purpose set forth herein.

Each of these members is an adult resident residing in Shawano County, Wisconsin.
ARTICLE III
BOARD
The association shall have a Board that shall serve without pay and that shall consist of four members. Each member shall serve a two-year term and shall be elected by a majority vote of the association membership that is present. Vacancies on the Board shall be filled by a recommendation of the remaining Board members and confirmed by a majority vote of the membership that is present.
The Board shall exercise such powers and control as are usually exercised by governing Boards and shall, in the interim between meetings of the association, have control of the affairs of the association with the power to act on its behalf.
ARTICLE IV
OFFICERS
S.O.S. K-9 shall have the following officers, as appointed by a majority vote of the Board, with the following duties:
1. President. The President shall preside at all meetings of the association and the Board, and shall provide a written agenda to Board members prior to the meeting. The President shall perform all duties incident to the office and shall recommend such action as he/she deems useful to the association. The President shall be an ex-officio member of any committees created by the association.
2. Vice-President. The Vice-President shall act in the absence of the President and shall have other duties as appointed by the President that are not inconsistent with these By-Laws or Wisconsin law.
3. Secretary. The Secretary shall keep an accurate record of all meetings, including keeping written minutes of all meetings, and shall give notice of all meetings, and shall carry on the correspondence of the association. The Secretary shall also keep an updated written list of all association members, including each member’s address. The Secretary shall update such list promptly as new members join the association.
4. Treasurer. The Treasurer shall receive and disburse any funds of the association, subject to the approval of the Board. He/she shall deposit all of the association’s monies, if any, in the name of the organization or as otherwise lawfully directed by the Board, and shall maintain proper budget records and financial reports. The Treasurer shall further collect any and all dues that are owed to the association by the membership, pay all bills the association incurs, and maintain necessary communication with any applicable Foundation.
ARTICLE V
MEETINGS
1. Annual Meeting. This association shall have an annual meeting for the election of officers and the transaction of business. Such annual meeting shall be held in the month of October of each year, with the specific date to be determined by the Board, at which time reports of officers and committees shall be made, together with all other business of the organization. Members shall be notified by mail at lease two weeks prior to the date of such meeting by newsletter, newspaper and/or postcard, or other sufficient written means.
2. Other Meetings. The association shall also hold regular monthly or quarterly meetings as necessary. These meetings may be held when called for by the President and/or a majority of the Board. The agendas for such meetings shall be made available at least 48 hours in advance of any such meeting.
ARTICLE VI
VOTING
A majority of the Board members constitutes a quorum. In the absence of a quorum, no formal action will be taken. The passing of any motion shall require a simple majority. Robert’s Revised Rules of Order, when not in conflict with these By-Laws, or the Constitution, shall govern the proceedings of this association.
ARTICLE VII
COMMITTEES
The Board may appoint standing and ad hoc committees as needed.
ARTICLE VIII
FISCAL POLICIES
The fiscal year of the association shall be from July 1st through June 30th of the following year.
ARTICLE IX
AMENDMENTS
Amendments to these By-Laws may be made at any meeting of the association membership by a two-thirds vote of those present after notification in writing to each member at least two weeks before the meeting at which the voting is to take place.
These Amended By-Laws were adopted by a two-thirds vote of the membership on this 19 day of November, 2008.
